Dissolution

Ohio Nonprofit Law: What Organizations Need to Know
Forming a Nonprofit Corporation in Ohio
Ohio nonprofit corporations are governed by ORC Chapter 1702. Formation requires filing Articles of Incorporation with the Ohio Secretary of State, which must include the organization's name, stated purpose, and provisions addressing the distribution of assets upon dissolution. The articles must contain specific language required for IRS recognition of 501(c)(3) status — including a statement that the organization is operated exclusively for exempt purposes and that its assets will be distributed to another qualifying exempt organization upon dissolution.
IRS Tax-Exempt Status — 501(c)(3) and Beyond
Recognition of federal tax-exempt status under IRC § 501(c)(3) requires filing Form 1023 (or the streamlined Form 1023-EZ for smaller organizations) with the IRS. The application requires a detailed narrative description of the organization's activities, a financial history or projection, and copies of governing documents. The IRS reviews the application to confirm that the organization is organized and operated exclusively for charitable, educational, religious, scientific, or other qualifying purposes.
